Terms and conditions of sale

Article 1 — Purpose and scope
These Terms and Conditions of Sale (hereinafter the “Terms of Sale”) govern the contractual relationship between:
Jean-Claude CHENARD, Sole Trader (Entrepreneur Individuel), SIRET 791 546 419, whose registered office is located at 1bis, Avenue Justin Maurice, 47520 Le Passage (hereinafter the “Publisher”),
and any legal entity or natural person acting within the scope of their professional activity who subscribes to the QualiFSTD application (hereinafter the “Customer”).
These Terms of Sale apply to the exclusion of all other conditions, in particular those of the Customer. Any subscription to QualiFSTD implies unreserved acceptance of these Terms of Sale.
In accordance with Article L. 441-1 of the French Commercial Code, these Terms of Sale apply to business-to-business relationships. QualiFSTD is a service intended exclusively for approved training organisations (ATO) and professional structures operating FSTDs, to the exclusion of any consumer clientele within the meaning of the French Consumer Code.
Article 2 — Description of the offers
QualiFSTD offers several subscription plans, the details of which (included features, prices) are presented on the Application’s pricing page. The price of each plan is set per FSTD certificate managed within the Application (an FSTD being able to be the subject of several distinct certificates, for example an FNPT II qualified in single-pilot and multi-pilot configuration).
The prices displayed are exclusive of VAT given the Publisher’s status under the VAT exemption scheme pursuant to Article 293 B of the French General Tax Code. VAT not applicable, Article 293 B of the CGI.
The Publisher reserves the right to modify its prices at any time. Customers already subscribed will be informed of any price change at least 30 days before it takes effect, and may terminate their subscription without penalty if they refuse the change, in accordance with Article 4 below.
Article 3 — Subscription and free trial
Subscription is carried out directly from the Application, via the secure Stripe payment module.
Free trial: The Customer benefits from a free trial period of 14 days from the creation of their account, allowing them to access the features of the Application before any financial commitment. No means of payment is required to begin the free trial. At the end of the trial period, the Customer must subscribe to a paid plan to continue benefiting from the service; failing this, access to the features may be restricted or suspended.
Article 4 — Term, renewal and termination
No minimum commitment: QualiFSTD subscriptions are entered into with no minimum commitment period. The subscription is taken out for a monthly period, automatically renewed by tacit renewal for an identical period, unless terminated by the Customer.
Termination: the Customer may terminate their subscription at any time, directly from their subscription management area (Stripe portal) or by requesting it from the Publisher. Termination takes effect at the end of the current billing period; no pro-rata refund of the period already started is made, unless otherwise required by law.
Termination by the Publisher: the Publisher may suspend or terminate a Customer’s subscription in the event of a serious breach of the Terms of Use or of these Terms of Sale, in particular in the event of non-payment that is not remedied after formal notice, without prejudice to any damages that may be claimed on this account.
Article 5 — Price and payment terms
Payments are processed through the payment provider Stripe, which ensures the security of transactions. The Publisher never has access to the Customer’s full banking details.
Payment is due monthly, by direct debit from the means of payment registered by the Customer, on the anniversary date of their subscription.
In the event of a payment failure, the Publisher reserves the right to suspend access to the Application until the situation is regularised, after notifying the Customer.
Article 6 — Right of withdrawal
In accordance with Article L. 221-3 of the French Consumer Code, the right of withdrawal provided for consumers does not apply to contracts concluded between professionals in the course of their activity. The Customer, acting as a professional in the context of operating an ATO or an FSTD, therefore does not benefit from a legal right of withdrawal under the Consumer Code.
Notwithstanding the foregoing, the Publisher, as a commercial gesture, allows the Customer to use the 14-day free trial period (Article 3) to evaluate the service before any firm financial commitment.
Article 7 — Service level and support
The Publisher endeavours to ensure optimal availability of the Application, without guaranteeing a formal contractual availability rate (no SLA-type commitment at this stage). Support is provided electronically at the contact address indicated on the Application, within a reasonable response time.
Article 8 — Liability
The Publisher’s liability under these Terms of Sale, whatever the basis of the claim, is limited to the total amount actually paid by the Customer for their subscription during the twelve (12) months preceding the event giving rise to the damage.
The Publisher cannot be held liable for the consequences resulting from inappropriate use of the Application by the Customer, the entry of erroneous data, or a failure by the Customer to meet their own regulatory obligations as an ATO or FSTD manager (see also Article 8 of the Terms of Use).
Article 9 — Ownership of the Customer’s data
The data entered by the Customer in the Application (FSTD information, QTG test results, documents) remains their exclusive property. In the event of termination of the subscription, the Customer has a period of 30 days to export their data before it is permanently deleted from the Publisher’s servers, in accordance with the Privacy Policy.
Article 10 — Protection of personal data
The processing of personal data is carried out in accordance with the GDPR and described in the Application’s Privacy Policy. The data is hosted within the European Union (Supabase infrastructure).
Article 11 — Force majeure
The Publisher cannot be held liable for any delay or failure to meet its obligations resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code.
Article 12 — Applicable law and disputes
These Terms of Sale are governed by French law. In the event of a dispute, and failing amicable resolution, the parties agree to submit the dispute to the competent courts in the jurisdiction of the Publisher’s registered office, unless otherwise required by mandatory law.
